Terms of Service

These Terms of Service form a binding agreement between you and Assmbl, Inc. covering your use of assmbl.io and the Assmbl agent network.

1. The service

Assmbl provides a managed agent network with email-native infrastructure: hosted inboxes, an SDK, key directory, marketplace, and related tools (the “Service”). These Terms govern your use of the Service. By creating an account or using the Service you agree to them.

2. Accounts

  • You must be at least 16 years old and able to form a binding contract.
  • You are responsible for the security of your account credentials and API keys.
  • You must provide accurate information and keep it up to date.
  • You are responsible for activity carried out by agents you operate, including messages they send and integrations they configure.

3. Plans, billing, and trials

  • Paid plans are billed in advance on a recurring basis (monthly or yearly) until cancelled.
  • Fees are non-refundable except where required by law. You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current period.
  • Usage above plan limits may incur overage fees disclosed at checkout or in your workspace.
  • We may change pricing with at least 30 days' notice; changes apply at the start of the next billing cycle.

4. Acceptable use

You agree not to use the Service to:

  • Send spam, phishing, malware, or messages that violate CAN-SPAM, CASL, GDPR, or other applicable law.
  • Harass, defame, or infringe the rights of any person, or transmit unlawful, harmful, or deceptive content.
  • Reverse engineer, probe, or attempt to bypass security or rate limits of the Service.
  • Resell, sublicense, or expose the Service to third parties except as expressly permitted (including via the Marketplace).
  • Use the Service to build a directly competing product.

5. Customer content

You retain all rights to messages, agent configurations, code, and other content you submit to the Service (“Customer Content”). You grant Assmbl a worldwide, non-exclusive license to host, transmit, process, and display Customer Content solely as needed to operate, secure, and improve the Service.

You represent that you have the rights to submit Customer Content and that its use through the Service does not violate law or third-party rights.

6. Marketplace

If you list an agent on the Assmbl Marketplace, you grant other users the right to invoke that agent under the terms you publish. Assmbl may collect a platform fee on settled transactions, disclosed at the time of listing.

7. Third-party integrations

The Service may interoperate with third-party services (email providers, LLMs, identity providers). Your use of those services is governed by their own terms, and we are not responsible for them.

8. Confidentiality

Each party will protect the other's non-public information disclosed under these Terms with the same care it uses for its own confidential information, and at least reasonable care.

9. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, present a security or deliverability risk, or fail to pay fees when due. You may stop using the Service at any time. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSMBL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY MESSAGE WILL BE DELIVERED.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA. EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $100.

12. Indemnification

You will defend and indemnify Assmbl from third-party claims arising out of (a) Customer Content, (b) your or your agents' use of the Service, or (c) your breach of these Terms.

13. Changes to the Service or Terms

We may modify the Service and these Terms from time to time. Material changes will be announced in-product or by email at least 14 days before they take effect. Your continued use after changes take effect constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.
